Please read these Terms and Conditions ("Terms") carefully before registering for or using CTC Document Generation ("the Service"), operated by Cutright Through Complexity, LLC ("Company," "we," "us," or "our"), an Ohio limited liability company. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not register or use the Service.

1. Acceptance of Terms

By clicking "I agree to the Terms and Conditions" during registration, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are registering on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of the Service

CTC Document Generation is a software-as-a-service (SaaS) platform that allows users to:

Create and manage document templates with variable fields
Generate filled documents from those templates
Store, share, and export generated documents

The Service is a document generation tool only. It does not provide legal, financial, medical, tax, or any other professional advice. Documents generated through the Service are produced based solely on the templates and data you provide. We make no representation that any document generated is legally sufficient, enforceable, accurate, or appropriate for any particular purpose. You are solely responsible for reviewing generated documents and obtaining qualified professional advice before relying on them.

3. Eligibility

You must be at least 18 years of age to use the Service. By registering, you represent that you meet this requirement. The Service is intended for use within the United States. You are responsible for ensuring your use of the Service complies with all laws and regulations applicable to you in your jurisdiction.

4. Lawful Use Only

You agree to use the Service only for lawful purposes and in compliance with all applicable federal, state, and local laws, including but not limited to the laws of the State of Ohio and the United States of America. You agree not to:

Use the Service to create, store, or transmit any content that is unlawful, fraudulent, harassing, defamatory, obscene, or otherwise objectionable
Use the Service to generate documents intended to deceive, defraud, or harm any person or entity
Violate any intellectual property rights of third parties
Attempt to gain unauthorized access to any portion of the Service or its related systems
Use the Service in any manner that could damage, disable, overburden, or impair its infrastructure
Violate any applicable export controls or sanctions regulations
Use the Service in violation of AWS Acceptable Use Policy or any applicable cloud provider terms

You are solely responsible for any content you upload, create, or generate using the Service, and for ensuring that such content and your use of the Service does not violate any law.

5. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized use of your account.

6. Subscription and Payment

Certain features of the Service require a paid subscription. Billing is handled through Stripe. By subscribing, you agree to pay the applicable fees for your selected plan. Subscription fees are non-refundable except as required by law. We reserve the right to modify pricing with reasonable notice. Free-tier usage is subject to limits as described on our Pricing page, and we reserve the right to modify or discontinue the free tier at any time.

7. Data Storage and Infrastructure

The Service is hosted on Amazon Web Services (AWS) infrastructure, primarily in the US East 2 (Ohio) region. Your data, including account information and generated documents, is stored in this region. By using the Service, you consent to your data being processed and stored in the United States. We take reasonable measures to protect your data, but we cannot guarantee absolute security. You are responsible for maintaining backup copies of any data or documents important to you.

8. Intellectual Property

The Service, including its software, design, and content, is owned by Cutright Through Complexity, LLC and protected by applicable intellectual property laws. You retain ownership of content and templates you create. You grant us a limited license to store and process your content solely to provide the Service to you. You represent that you have the rights to any content you upload and that it does not infringe any third-party rights.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that:

The Service will meet your specific requirements or expectations
The Service will be uninterrupted, error-free, or secure at all times
Documents generated through the Service will be legally valid, complete, or appropriate for any use
Results obtained from using the Service will be accurate or reliable
Errors in the Service will be corrected

Any reliance you place on the Service or documents it generates is strictly at your own risk.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CUTRIGHT THROUGH COMPLEXITY, LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, including but not limited to damages for loss of profits, revenue, data, goodwill, business opportunities, or other intangible losses, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to us in the twelve (12) months immediately preceding the claim, or (b) fifty U.S. dollars ($50.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you to the full extent stated.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cutright Through Complexity, LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you create, upload, or generate using the Service.

12. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or for any other legitimate business reason. Upon termination, your right to use the Service ceases immediately. Sections 8 through 14 of these Terms survive termination.

13. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service (or any part thereof) at any time, with or without notice. We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States of America, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Ohio, and you consent to personal jurisdiction in those courts. You waive any objection to venue in those courts.

15. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver. You may not assign your rights under these Terms without our prior written consent.
